Conditions générales
La vente de matériel médical est réservée exclusivement aux acheteurs des catégories suivantes. Il est interdit de revendre sur un site d'accès public les articles fournis dans le cadre de ces ventes. En acceptant nos Conditions Générales, vous confirmez être :
A. Soit un revendeur qualifié de matériel médical
B. Soit un utilisateur qualifié de matériel médical
C. Soit un acheteur ayant l’intention d'expédier les produits à l'étranger
1. Le Commissaire-Priseur se réserve le droit de :
i) Vendre en imposant un prix de réserve
ii) Faire avancer les enchères à son entière discrétion par incréments prédéterminés.
iii) Refuser d'accepter la ou les enchères d'une ou de plusieurs personnes sans devoir se justifier.
2. Le plus offrant est l'Acheteur et en cas de litige, le Commissaire-Priseur peut à son entière discrétion décider de le régler ou de réoffrir le lot à la vente. À la clôture de la vente, il n’est plus possible d’annuler l'achat et aucune réduction ne peut être accordée. Lorsqu'une vente comporte un lot combiné qui autorise des enchères sur l’ensemble des lots ou sur des lots sélectionnés, le Commissaire-Priseur se réserve le droit d'accepter l’enchère pour le lot combiné qui l’emporte sur les enchères individuelles.
3. Le Commissaire-Priseur peut organiser, consolider, retirer tout lot ou modifier l'ordre de vente sans préavis et peut enchérir pour le compte du Vendeur pour tout lot offert soit s’accompagnant d'un prix de réserve, soit à la discrétion du Commissaire-Priseur.
4. À la clôture de l’enchère, chaque lot est considéré comme livré et l'Acheteur est responsable de procéder au paiement et à l’enlèvement de ce lot.
PAIEMENT : Tous les lots doivent être payés dans les 4 jours suivant l’enchère. Le paiement doit être effectué par des fonds garantis, tels que par un virement bancaire, par carte de crédit ou par traite bancaire. Un supplément de 2,5 % est imputé pour toutes les opérations par carte de crédit et aucuns frais ne sont facturés pour les opérations par Switch ou Delta. Nous nous réservons le droit de refuser des paiements en espèces pour les achats et nous refusons les paiements en espèces pour les achats d'une valeur supérieure à 5000 £. Les paiements par carte effectués par téléphone sont limités à 1500 £ par facture.
5. CONDITIONS D’ENLÈVEMENT : Ces conditions s’appliquent à un lot devant être enlevé des locaux du Vendeur à l’issue de la vente aux enchères lors de laquelle il a été vendu à l'Acheteur.
a. L'Acheteur est responsable de la collecte du lot dans les locaux où il se trouve (« les locaux de collecte »).
b. L'Acheteur est tenu de contacter le Vendeur ou le Mandataire du Vendeur dès que possible après la vente aux enchères pour organiser une ou plusieurs dates pour que l’Acheteur puisse avoir accès aux locaux de collecte en vue de collecter et d’enlever le lot.
c. Il est interdit au Vendeur ou au Mandataire du Vendeur de refuser ou de retarder son accord indûment à une date et une heure convenables pour que l'Acheteur ait accès aux locaux de collecte en vue de collecter et d’enlever le lot.
d. L'Acheteur est tenu d’observer les dispositions que le Vendeur peut raisonnablement imposer concernant l'accès par l'Acheteur aux locaux de collecte et concernant la collecte et l'enlèvement du lot.
e. L'Acheteur est tenu de collecter le lot à partir des locaux de collecte au plus tard des deux dates suivantes :
(i) 4 jours après la date de la vente aux enchères lors de laquelle le lot a été acheté ou
(ii) toute date convenue avec le Vendeur ou son mandataire en vue de la collecte et de l'enlèvement du lot.
et le temps est une condition essentielle pour la collecte. La date de la collecte est appelée « date de collecte ».
f. L'Acheteur est tenu d’enlever le lot des locaux de collecte :
(i) en usant de tous les soins et de toutes les compétences nécessaires.
(ii) en utilisant du matériel approprié et de personnel dûment qualifié et expérimenté.
(iii) en conformité avec l’ensemble des réglementations et des exigences juridiques applicables.
(iv) conformément aux exigences raisonnables du Vendeur.
(v) en causant le minimum possible de dommages et de désagréments pour le Vendeur et en réparant immédiatement tous dégâts commis.
(vi) de manière diligente et avec toute la célérité possible.
g. Si le Vendeur le lui demande, avant la collecte et l'enlèvement, l'Acheteur est tenu de remettre au Vendeur :
(i) des précisions complètes sur les moyens ou la méthode proposés d’enlèvement du lot.
(ii) des précisions complètes sur le matériel et le personnel qu’il a l’intention d’utiliser, y compris l'expérience et les qualifications des personnes qu’il est prévu d’employer pour la collecte et l’enlèvement du lot.
(iii) une évaluation des risques satisfaisante concernant l’enlèvement du lot.
(iv) la preuve de la couverture d'assurance que le Vendeur peut exiger pour couvrir tout manquement de la part de l'Acheteur à respecter ses obligations en vertu des présentes conditions d'enlèvement.
h. En cas de non-respect de tout ou partie de ces conditions d'enlèvement par l’Acheteur, le Vendeur peut annuler la vente du lot à l'Acheteur en signifiant un avis à l'Acheteur à cet effet.
i. En cas de manquement par l'Acheteur à collecter et enlever le lot d'ici la date d’enlèvement, le Vendeur peut :
(i) sans autre avis envoyé à l’Acheteur, revendre le lot, à titre de mandataire pour l'Acheteur, par les moyens de son choix et au prix qu'il peut raisonnablement obtenir, auquel cas l'Acheteur est responsable des coûts de la revente.
(ii) stocker le lot aux frais de l'Acheteur, auquel cas l’Acheteur sera tenu de payer les frais de stockage sur demande.
(iii) annuler la vente du lot, en donnant un avis écrit d'annulation à l'Acheteur.
j. Si le Vendeur annule la vente d'un lot en vertu de ces conditions d’enlèvement et revend ensuite le lot à un moindre prix, l'Acheteur est responsable envers le Vendeur de payer la différence entre ce moindre prix et le prix qui aurait été payable pour le lot par l'Acheteur si cette annulation n’avait pas eu lieu, ainsi que les coûts de la vente annulée.
k. L'Acheteur doit indemniser et continuer à indemniser le Vendeur à l'égard de tous les coûts, frais, pertes, responsabilités, réclamations, procédures et autres conséquences négatives que le Vendeur peut subir ou engager, en conséquence entière ou partielle de tout manquement de la part de l’Acheteur à observer tout ou partie de ces conditions d’enlèvement, y compris les coûts ou frais que le Vendeur peut encourir dans l'exercice de ses droits en vertu de ces conditions d’enlèvement en conséquence de leur non-respect par l’Acheteur.
l. Le Vendeur détient un droit de rétention vis-à-vis du lot pour tous les montants qu'il est en droit de réclamer à l'Acheteur en vertu des présentes conditions d’enlèvement à la suite de leur non-respect par l’Acheteur et en raison de toute action ou des mesures prises par le Vendeur suite à ce manquement, y compris toute revente en qualité de mandataire de l'Acheteur ou autrement. Le Vendeur peut utiliser le produit de toute revente du lot par celui-ci pour régler ces montants. Si le Vendeur vend le lot à titre de mandataire de l'Acheteur, alors il est tenu de rendre compte à l'Acheteur du solde restant.
6. Aucun achat ne peut être enlevé au cours de la vente, sauf à l’entière discrétion des Commissaires-Priseurs, et ce tant que toutes les sommes dues par l'Acheteur n’ont pas été payées et compensées par la banque.
7. Seul l’enchérisseur enregistré est facturé. Les lots ne peuvent pas être transférés à des tiers suite à la vente.
8. Les Frais Acheteur + TVA sont facturés sur tous les lots.
9. Tous les produits sont vendus sans garantie, sauf indication contraire par le Commissaire-Priseur. Tous les produits sont vendus avec l’ensemble des défauts, des imperfections et des erreurs de description qu’ils peuvent contenir. Il revient aux Acheteurs de se satisfaire de l’état de chaque lot avant la vente aux enchères. Toute déclaration par les Commissaires-Priseurs se rapportant au lot ne constitue qu’un énoncé d’opinion seulement. Il revient à chacun de s’en remettre à son propre jugement quant à toutes les questions concernant le lot.
10. Tout le matériel vendu par la vente aux enchères ou la soumission est vendu strictement « en l’état » avec tous les vices qui l’accompagnent, qu’ils soient indiqués ou non. Les produits vendus « en l’état » ne peuvent être retournés. Les Vendeurs et les Commissaires-Priseurs déclinent toute responsabilité concernant l'état des produits. Il relève de la responsabilité de l'Acheteur de stériliser et de vérifier ces équipements avant de les utiliser et de veiller à ce que tout le matériel médical fasse l’objet d'un entretien régulier.
11. Aucune responsabilité n’est acceptée en cas de perte ou de dommage aux produits lors de la collecte et de la livraison et tous les produits une fois vendus sont conservés sans être assurés, aux risques de l'Acheteur.
12. Emballage et expédition. Les Commissaires-Priseurs peuvent fournir un service d’emballage et d’expédition pour certains lots, ou peuvent fournir les coordonnées de techniciens, emballeurs et expéditeurs qualifiés. Toutefois, l'Acheteur est tenu de s'assurer qu'il est en mesure de venir enlever ses achats avant d’enchérir. Les Commissaires-Priseurs ou leurs mandataires déclinent toute responsabilité dans le cas où l'Acheteur se trouve dans l’incapacité d’enlever son ou ses lots. Les Commissaires-Priseurs n'acceptent aucune responsabilité pour les articles emballés par leur personnel.
13. Bien que toutes les précautions aient été prises pour assurer l'exactitude du catalogue, les Commissaires-Priseurs ne donnent aucune garantie quant à l'authenticité et à l'état des produits. Aucune vente ne peut être rendue non valide en raison d’une erreur de description d’un ou de plusieurs lots dans le catalogue. Il est de la responsabilité de l’Acheteur de vérifier l'authenticité et l'état des articles avant la vente. Néanmoins, si un lot se révèle être une contrefaçon intentionnelle, la vente du lot peut être annulée et le prix d'achat remboursé à l’entière discrétion des Commissaires-Priseurs, à condition que celui-ci soit retourné aux Commissaires-Priseurs dans le même état qu'au moment de la vente et dans un délai raisonnable.
14. Les Commissaires-Priseurs se réservent le droit d'utiliser les images photographiques des lots à des fins publicitaires. Le droit d'auteur des images reste la propriété des Commissaires-Priseurs.
15. Dans le cadre de la vente des produits, les Commissaires-Priseurs agissent exclusivement à titre de mandataires. Ils ne sont aucunement responsables de tout manquement de la part de l'Acheteur ou du Vendeur. En particulier, ils ne sont pas tenus responsables de payer le Vendeur tant qu’ils n’ont pas reçu le paiement de l'Acheteur.
16. Les Commissaires-Priseurs n'acceptent aucune responsabilité pour la parution des enchères sur le site, ou pour la défaillance quelle qu’elle soit du système d'enchères qui peut conduire à l’échec par un Acheteur d’obtenir les lots de son choix. Ils ne peuvent pas être tenus responsables de toute défaillance Internet ou du matériel et des logiciels connexes. Toutefois, les Commissaires-Priseurs se réservent le droit d'annuler une vente, ou non, et de réoffrir des lots, de prolonger le délai de la vente ou de changer la méthode de vente, plus particulièrement si les Commissaires-Priseurs soupçonnent que le système en ligne a fait l’objet d’altérations intempestives de quelque manière que ce soit.
17. En cas de non-respect des conditions ci-dessus, ou de la non-exécution de tout ou partie d'entre elles, les Commissaires-Priseurs sont libres de prendre les mesures qu'ils jugent nécessaires pour clore la transaction. Si une revente est effectuée soit par vente aux enchères publique soit de gré à gré, les pertes et les frais sont tous à la charge de la partie défaillante à cette vente.
Les présentes conditions sont régies par le droit anglais et sont soumises à la compétence non exclusive des tribunaux anglais.

Terms and Conditions
1. Definitions
Buyer - the person who buys or agrees to buy the goods from
the Seller.
Conditions - the terms and conditions of sale as set out in this document
and any special terms and conditions agreed in writing by the
Seller.
Goods - the articles which the Buyer agrees to buy from the Seller.
Price - the price for the Goods, excluding VAT and any carriage,
packaging and insurance costs.
Seller means Hilditch Group Ltd of Gloucester Road Trading
Estate, Malmesbury, Wiltshire, SN16 9JT, UK
2. Conditions
2.1 These Conditions shall form the basis of the contract between the Seller and
the Buyer in relation to the sale of Goods, to the exclusion of all other terms
and conditions including the Buyer’s standard conditions of purchase or any
other conditions which the Buyer may purport to apply under any purchase
order or confirmation of order or any other document.
2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase
Goods from the Seller pursuant to these Conditions.
2.3 Acceptance of delivery of the Goods shall be deemed to be conclusive
evidence of the Buyer’s acceptance of these Conditions.
2.4 Goods are subject to availability, in the event that the Company is unable to
supply the Goods, the Customer will be informed as soon as possible. An
alternative will be offered or a full refund will be given where applicable.
2.5 The company reserves the right to alter the details and specifications of any
given product and to withdraw an item without notification.
2.6 These Conditions may not be varied except by the written agreement of a
director of the Seller.
2.7 These Conditions represent the whole of the agreement between the Seller
and the Buyer. They supersede any other conditions previously issued.
3. Price
The Price shall be the price quoted on the Seller’s confirmation of order. The Price is
exclusive of VAT which shall be due at the rate in force on the date of the Seller’s
invoice.
The cost of packaging, carriage, sales tax and all other taxes, duties and expenses in
respect of the Goods, will be added to the price where relevant. All prices quoted are
subject to VAT at the prevailing standard rate.
The Company reserves the right to change any price without notice.
In the unlikely event that the price of an item has been incorrectly advertised, the
Company will contact the Customer to ask if they wish to proceed at the correct price.
If not the order will be cancelled and a full refund given if applicable.
4. Payment and Interest
4.1 Payment of the Price and VAT shall be due within 7 days of the date of the
Seller’s invoice. Payment is accepted by credit, debit card or bank transfer.
Credit cards are subject to the surcharge advertised on the website at the time
of purchase.
4.2 Interest on overdue invoices shall accrue from the date when payment
becomes due calculated on a daily basis until the date of payment at the rate
of 8% per annum above the Bank of England base rate from time to time in
force. Such interest shall accrue after as well as before any judgment.
4.3 The Buyer shall pay all accounts in full and not exercise any rights of set-off or
counter-claim against invoices submitted by the Seller.
5. Goods
The quantity and description of the Goods shall be as set out in the Seller’s
confirmation of order.
6. Warranties
The Seller warrants that the Goods will at the time of delivery correspond to the
description given by the Seller in the confirmation of order. [Except where the Buyer
is dealing as a consumer (as defined in section 12 of the Unfair Contract Terms Act
1977), all other warranties, conditions or terms relating to fitness for purpose, quality
or condition of the Goods are excluded].
7. Delivery of the Goods
7.1 Delivery of the Goods shall be made to the Buyer’s address. The Buyer shall
make all arrangements necessary to take delivery of the Goods on the day
notified by the Seller for delivery.
7.2 The Seller undertakes to use its reasonable endeavours to despatch the
Goods on an agreed delivery date, but does not guarantee to do so. Time of
delivery shall not be of the essence of the contract.
7.3 The Seller shall not be liable to the Buyer for any loss or damage whether
arising directly or indirectly from the late delivery or short delivery of the
Goods. If short delivery does take place, the Buyer undertakes not to reject
the Goods but to accept the Goods delivered as part performance of the
contract.
7.4 If the Buyer fails to take delivery of the Goods on the agreed delivery date, or
if no specific delivery date has been agreed when the Goods are ready for
despatch, the Seller shall be entitled to store and insure the Goods and to
charge the Buyer reasonable costs of so doing.
8. Acceptance of the Goods
8.1 The Buyer shall be deemed to have accepted the Goods 48 hours after
delivery to the Buyer.
8.2 The Buyer shall carry out a thorough inspection of the Goods within 48 hours
of delivery and shall give written notification to the Seller within 3 working days
of delivery of the Goods of any defects which a reasonable examination would
have revealed.
8.3 Where the Buyer has accepted, or has been deemed to have accepted the
Goods, the Buyer shall not be entitled to reject Goods which are not in
accordance with the contract.
9. Title and Risk
9.1 Risk shall pass on delivery of the Goods to the Buyer’s address.
9.2 Notwithstanding the earlier passing of risk, title in the Goods shall remain with
the Seller and shall not pass to the Buyer until the amount due under the
invoice for them (including interest and costs) has been paid in full.
9.3 Until title passes, the Buyer shall hold the Goods as bailee for the Seller and
shall store or mark them so that they can at all times be identified as the
property of the Seller.
9.4 The Seller may at any time before title passes and without any liability to the
Buyer:
9.4.1 repossess and dismantle, use or sell all or any of the Goods and by
doing so terminate the Buyer’s right to use, sell or otherwise deal in
them; and
9.4.2 for that purpose (or determining what if any Goods are held by the
Buyer and inspecting them) enter any premises of or occupied by the
Buyer.
9.5 The Seller may maintain an action for the price of any Goods notwithstanding
that title in them has not passed to the Buyer.
10. Carriage of Goods
Carriage will be chargeable on all sales. This will be at the rate indicated in the item
description.
The Company will use reasonable endeavours to deliver the goods within the time
agreed. If the company is unable to deliver within this agreed timescale, the Company
will not be deemed in breach of contract, nor will the Company have any liability to
the customer for direct, indirect or consequential loss.
11. Use of Information
Information that a customer provides will be held on the Companies’ database and
used only for the administration of your account. We will not pass this information to
third parties.
All information is held securely as required by the Data Protection Act. Financial
information will not be stored.
12. Warranty and Liability
12.1 New Goods are supplied according to the descriptions and
specifications given in the relevant marketing material of the Company. On
acceptance of an order the company gives no warranty other than that offered by the
manufacturers of the Goods.
12.2 In the event that a new item is defective within the meaning of the Sale of
Goods Act 1979 the Company reserves the right, at its absolute discretion, to replace
or repair the Goods as an alternative to refunding the purchase price. It is the
responsibility of the purchaser to return the goods, at their own expense for
replacement, repair or refund.
12.3 Second hand Goods are supplied with a 14 day warranty, unless otherwise
indicated. The company reserves the right to replace or repair the Goods as an
alternative to refunding the purchase price. It is the responsibility of the purchaser to
return the goods, at their own expense for replacement, repair or refund. Any repairs
performed by our Engineers will be subject to a further 3 month warranty period.
12.4 The company shall not be liable for any breach of warranty where:
i) the Goods have been improperly altered in any way, or been subject
to misuse or unauthorised repair;
ii) the Goods have been improperly installed or connected by the
Customer;
iii) the Goods have been damaged by fire, water, smoke or chemicals;
iv) Any maintenance requirements relating to the Goods have not been
complied with;
v) the Customer has failed to notify the Company within 3 days of
receipt of any defect or damage to the Goods. It is the Customers
responsibility to promptly check Goods following delivery.
13. Return of Non-Faulty Goods
Goods are not supplied on a sale or return basis. Returns of non-faulty Goods
will only be accepted at the sole discretion of and with prior written permission of
the Company.
Returned goods must be unused and in original packaging and must be fit for resale.
14. Proper Law
These Terms & Conditions and any Contract shall be governed by & construed
according to the Law of England and the customer submits to the jurisdiction of
the English Court.

Sharing Information
Other than as described below, we will not share your personal data with anyone outside Hilditch Group Ltd, Hilditch Iberia SLU & other Hilditch companies other than in accordance with the law. Each of the countries in which we operate has different privacy laws. Our Privacy Policy will reflect those.
We may from time to time however need to disclose your personal data to certain third parties:
- Agents or Contractors of HGL
We may need to disclose certain personal information to our Agents or Contractors to enable us to process transactions, administer events or communicate with you. Where we do so it will be on the basis that these agents/contractors are required to keep the information confidential and secure, and will not use the information for any other purpose than to carry out the services they are performing for us.
- Anti-Money Laundering and Regulatory Authorities
We may need to retain and disclose certain information about you to regulatory authorities and to appropriate agencies to conduct anti-money laundering and trade sanction checks and to assist with fraud prevention, in particular, in compliance with our AML obligations and in relation to trade sanctions. We will disclose this information as is required by law.
- Credit Agencies
We may need to disclose certain personal information about you to credit agencies to conduct appropriate checks when you are transacting with us.
- Legal Disclosures
While we will not voluntarily disclose your personal data we may disclose such information if we are required to do so by a valid Court Order, if we are lawfully requested by government or law enforcement authorities, if we are required to do so pursuant to other legal processes, or if it becomes necessary to protect the rights or property of the Hilditch group of companies.
Worldwide transfers and processing
As a global organisation, HGL may process your personal information as described above in countries outside of the EEA. Each of these countries has differing privacy laws offering different levels of protection for your personal information. Introduction
As from May 25, 2018, any company that operates within the EU is required to meet certain obligations under the EU General Data Protection Regulations.

have policies, standards and guidance to ensure that the appropriate controls and safeguards are in place to protect all personal data that we use.
We are committed to ensuring that all personal data that we hold is processed fairly and lawfully, kept up to date and accurate, adequately secured and protected, collected expressly for legitimate purposes and kept in such a way as to allow data subjects to exercise their rights.
Preparation
Hilditch Group has set up a GDPR review to ensure that all areas of the Company are compliant. This allows us to identify and take any necessary steps to ensure we are compliant.
Commitment
We will only request and hold data for the purposes of creating records, ongoing administration and to meet required obligations. This data may be collected though our websites, emails, letters, forms or by telephone.
We do not currently share customer (buyer or vendor) details with any third party for use outside the Hilditch Group. In the future, we will only share data with carefully selected third parties, and where it is necessary to enable us to carry out required services in the proper management of our dealings with our customers or suppliers.
Any data transferred to these third parties will be done so in a manner that ensures the security of the data no matter how this is transferred.
All data that we hold is stored within the UK either electronically on servers or in paper format. Access to this data is restricted on a business need basis and is appropriate based on the role of the individual being given such access. Confidentiality of passwords is strictly maintained. Processes are in place to ensure that leavers of the business have access removed.

Hilditch Group will be complying with GDPR as a Data Controller and a Data Processor. We will be working with any partner Organisations to ensure they can all meet these obligations.
The company has reviewed and put in place GDPR compliant privacy policies internally and externally. All staff who handle any data receive GDPR training and are aware of procedures and responsibilities of staff and stakeholders in regard to GDPR.
Where relevant, we are using all reasonable endeavours to ensure that any third party or supplier is compliant with GDPR.
With regard to data already held, we are undertaking a systematic review of the data we store, maintain, manage, process and control in relation to lawfulness, purpose, minimisation, accuracy, consent, limitation, integrity & confidentiality, record keeping and accountability. Data breaches
Data breaches will be dealt with in accordance with the ICO GDPR requirements and, where appropriate and feasible, reported to the relevant authority within 72 hours.
