CONDICIONES DE VENTA
La venta de equipo médico solo está permitida a las siguientes categorías de Compradores. Los productos ofrecidos en estas ventas no pueden ser revendidos en ningún otro sitio web de acceso público.
Al aceptar nuestros Términos y Condiciones, confirma que Usted es:
A. Distribuidor de equipo médico
B. Personal cualificado para el uso de equipo médico o
C. Comprador con intención de enviar la mercancía al extranjero
1. El Subastador se reserva el derecho de:
i) Vender sujeto a un precio de reserva.
ii) Incrementar las pujas a su total discreción según incrementos predeterminados.
iii) Rechazar la puja de cualquier persona/s sin dar ninguna explicación sobre ello.
2. La persona que realice la puja más alta será el Comprador y, en caso de disputa, queda al criterio exclusivo del Subastador la adjudicación del lote o bien, lanzar una contraoferta del mismo. Una vez finalizada la venta, la compra no podrá ser cancelada, sin excepción. Cuando una venta tenga asociada un lote que permita pujar por la totalidad o por los lotes individuales, el Subastador se reserva el derecho de aceptar la puja por la totalidad del lote frente a las pujas individuales.
3. El Subastador podrá organizar, consolidar y retirar cualquier lote, así como variar el orden de la venta sin previo aviso. También podrá pujar en representación del Vendedor para cualquier lote ofrecido, ya tenga un precio de reserva o esté sujeto a la total discreción de los Subastadores.
4. Finalizada la venta, cada lote se considerará como entregado y el Comprador será el único responsable del pago y de la recogida del lote.
PAGO: Todos los lotes deberán ser pagados en los 5 días posteriores a la venta o según indicado en las condiciones de pago en la factura. El Pago podrá realizarse a través de transferencia bancaria o tarjeta de crédito / débito. Habrá un recargo sobre cualquier pago efectuado con tarjeta de crédito y no habrá ningún recargo en los pagos con tarjeta de débito. Nos reservamos el derecho de rechazar pagos en metálico y no se aceptarán pagos en metálico para cantidades superiores a 5.000 £ (o € equivalentes), siendo 10.000 £ el importe máximo aceptado durante un periodo tres meses. Los pagos realizados por teléfono estarán limitados a 1.500 £ por factura (o € equivalentes).
5. CONDICIONES DE RECOGIDA: Estas condiciones aplicarán a los lotes que deban ser recogidos en las instalaciones del Vendedor, tras haber finalizado la subasta en la que fueron vendidos al Comprador.
a. El Comprador será responsable de recoger el lote de la ubicación en el que se encuentra (“la ubicación”)
b. El Comprador contactará con el Vendedor o Agente de Ventas con la mayor celeridad posible después de la subasta para fijar una/s fecha/s con el fin de que el comprador tenga acceso a la ubicación para retirar el lote.
c. Ni el Vendedor ni los Agentes de Ventas podrán denegar o retrasar desmedidamente el acuerdo de una fecha y hora razonables en la que el Comprador pueda acceder al lugar de ubicación para recoger y retirar el lote.
d. El Comprador cumplirá con las estipulaciones que el Vendedor razonablemente pueda establecer para el acceso del Comprador al lugar de ubicación, la recogida y retirada del lote.
e. El Comprador recogerá el lote del lugar de ubicación a partir de:
(i) en un plazo máximo de 5 días después de la fecha de la subasta en la que el lote fue comprado o
(ii) en cualquier fecha acordada con el Vendedor o sus Representantes para la recogida y retirada del lote,
siendo la hora pactada fundamental para la recogida. La fecha de recogida se conoce como “la fecha de recogida”.
f. El Comprador recogerá el lote del lugar donde esté ubicado:
(i) Tomando las precauciones necesarias.
(ii) Utilizando el equipo apropiado y mediante personal experto y debidamente cualificado.
(iii) Según establezca el reglamento aplicable y los requisitos legales.
(iv) De acuerdo con las indicaciones y requisitos razonables del Vendedor.
(v) Causando los mínimos daños posibles e inconvenientes al Vendedor, reparando todo daño causado inmediatamente.
(vi) Diligentemente y con la mayor celeridad posible.
g. En caso de que el Vendedor lo requiera, antes de recoger y retirar el lote, el Comprador deberá presentar:
(i) Un listado detallado de los medios o métodos previstos para la recogida del lote.
(ii) Un listado detallado del equipamiento y el personal que deberá emplearse incluyendo la experiencia y la cualificación del personal que va a realizar la recogida y la retirada del lote.
(iii) Asesoramiento correcto sobre los riesgos existentes.
(iv) Una copia de la cobertura del seguro, ya que el Vendedor puede requerir cubrir los posibles desperfectos causados por el Comprador durante la recogida y retirada del lote.
h. Si el Comprador no cumple cualquiera de estas condiciones de recogida, el Vendedor está en su pleno derecho, bajo aviso al comprador a tal efecto, de cancelar la venta del lote.
i. Si el Comprador no recoge ni retira el lote en la fecha previamente acordada, el Vendedor podrá:
(i) Sin notificación alguna, revender el lote como agente del Comprador, en los medios que decida y al precio razonable que sea capaz de obtener. El Comprador será el responsable de los costes derivados de la reventa.
(ii) Almacenar el lote a expensas del Comprador, caso en el que los costes de almacenaje serán pagados por el Comprador.
(iii) Cancelar la venta de un lote, notificando por escrito al Comprador dicha cancelación.
j. Si el Vendedor cancela la venta de un lote por el incumplimiento de alguna de las condiciones de recogida y por consiguiente revende el lote a un precio inferior, entonces el Comprador estará obligado a compensar al Vendedor la diferencia existente entre el precio más bajo y el precio que hubiera pagado por el lote si no se hubiera cancelado, así como también los costes derivados de dicha cancelación.
k. El Comprador indemnizará al Vendedor por todos los gastos, costes, pérdidas, obligaciones, reclamaciones y cualquier consecuencia adversa que el Vendedor pudiera sufrir o incurrir total o parcialmente como resultado del incumplimiento por parte del Comprador de las condiciones de recogida, incluyendo cualquier gasto o coste en los que el Vendedor incurra en el ejercicio de sus derechos bajo las condiciones de recogida como consecuencia del incumplimiento por parte del Comprador.
l. El Vendedor tendrá un gravamen sobre el lote para todas las cantidades que tenga derecho a reclamar al Comprador bajo estas condiciones de recogida como consecuencia del incumplimiento por parte del Comprador y por cualquier acción o medida tomada por el Vendedor como consecuencia de dicho incumplimiento, incluyendo cualquier reventa en condición de agente del Comprador u de otra forma. El Vendedor podrá utilizar el importe de la reventa del lote para su liquidación. Si el Vendedor vende el lote en condición de agente del Comprador, entonces cualquier saldo restante posterior le corresponde al Comprador.
6. Ninguna compra podrá ser recogida durante la venta, salvo a criterio exclusivo de los Subastadores, ni hasta el momento en que todas las sumas adeudadas por el Comprador sean pagadas y estén reflejadas en el Banco.
7. Solo se emitirán facturas a los licitadores que estén registrados. Ningún lote podrá ser transferido a terceras partes tras su venta.
8. En todos los lotes se cargará la Prima del Comprador + IVA.
9. Todos los lotes carecen de garantía a no ser que el Subastador indique lo contrario. Todos los productos se venden con todos los fallos, desperfectos e imperfecciones recogidos en su descripción. Al pujar por un lote, el Comprador acepta las condiciones de cada lote. Cualquier comentario de los Subastadores acerca del lote es una mera opinión propia y cada uno deberá confiar en su propio criterio con lo que respecta al lote.
10. Todos los equipos vendidos a través de subasta o licitación se venden estrictamente “como se muestran”, con todos los fallos indicados y no indicados. Ni el Vendedor ni los Subastadores serán responsables de la condición en que se encuentren los productos. El Comprador deberá esterilizar y comprobar el equipo previamente a su utilización, así como asegurarse de que se realicen los trabajos de mantenimiento regulares de los equipos médicos. No se aceptarán devoluciones ni reembolsos sobre los productos que sean vendidos “como se muestran”.
11. No se aceptará ninguna responsabilidad por cualquier pérdida o daño en los productos durante la recogida y entrega de éstos. Todos los productos, una vez vendidos, se mantendrán sin seguro bajo el riesgo del Comprador.
12. Embalaje y Envío: Los Subastadores podrán ofrecer un servicio de embalaje y envío para determinados lotes, así como proporcionar información de empresas especializadas en servicios de ingeniería y logística. No obstante, el Comprador deberá asegurarse de que podrá recoger sus compras antes de pujar. Los Subastadores o sus Agentes no aceptarán ninguna responsabilidad si el Comprador no es capaz de recoger su lote o lotes. Los Subastadores no aceptarán ninguna responsabilidad por los productos embalados por su personal.
13. Aunque se ha hecho todo lo posible para asegurar la exactitud del catálogo, los Subastadores no ofrecen ninguna garantía en cuanto a la autenticidad y condición de los bienes. Ninguna venta podrá ser anulada por errores en la descripción del lote contenida en el catálogo de subastas. Es responsabilidad del Comprador verificar la autenticidad y la condición de los productos antes de la venta. Si se detecta que un lote representa un fraude deliberado, su venta podrá ser rescindida y el importe será reembolsado, a criterio exclusivo de los Subastadores, con la condición de que el lote sea devuelto a los Subastadores en la misma condición en que se encontraba en el momento de la venta y dentro de un plazo razonable.
14. Los Subastadores se reservan el derecho de utilizar imágenes fotográficas para cualquier lote como material publicitario. Los derechos de las imágenes pertenecen a los Subastadores.
15. Los Subastadores actúan en la venta de los bienes únicamente como agentes y no son responsables de ningún incumplimiento por parte de los Compradores ni Vendedores. Y, en particular, no están obligados a liquidar la venta al Vendedor hasta que no hayan recibido el pago del Comprador.
16. Los Subastadores no asumen responsabilidad por las pujas realizadas en la página Web o por cualquier fallo ocurrido en el sistema de subastas que pueda derivar en una compra fallida de un lote. No serán responsables de ningún fallo producido en Internet o relacionado con el hardware y software. No obstante, los Subastadores se reservan el derecho a cancelar una venta y volver a ofrecer los lotes, a ampliar la fecha límite de la venta o a cambiar el método de venta; en particular, si los Subastadores sospechan que el sistema online está siendo alterado de algún modo.
17. Toda persona que se encuentre en las instalaciones de los Subastadores antes, durante o después de la subasta, lo hacen bajo por su propia cuenta, responsabilidad y riesgo. Se consideran “Instalaciones de los Subastadores” cualquier lugar donde Hilditch Group Ltd celebre una subasta. Los Subastadores no asumen ninguna responsabilidad por lesiones, accidentes o daños de cualquier índole que puedan ocurrir, cualesquiera que sean sus causas. El Subastador podrá, sin dar ninguna razón de ello, denegar la admisión a las instalaciones de los Subastadores a cualquier persona en cualquier momento. El Comprador será responsable de cualquier daño en las instalaciones del Subastador ocasionado en el momento de la recogido de los equipos.
18. En el caso de incumplir total o parcialmente las condiciones arriba mencionadas, los Subastadores tendrán la libertad para tomar las medidas que consideren necesarias para llevar la transacción a su término. En el caso de que se decida revender el lote, ya sea por subasta pública o mediante contrato privado, las pérdidas y costes serán asumidos por la parte que incumplió los términos y condiciones de la venta.

Terms and Conditions
1. Definitions
Buyer - the person who buys or agrees to buy the goods from
the Seller.
Conditions - the terms and conditions of sale as set out in this document
and any special terms and conditions agreed in writing by the
Seller.
Goods - the articles which the Buyer agrees to buy from the Seller.
Price - the price for the Goods, excluding VAT and any carriage,
packaging and insurance costs.
Seller means Hilditch Group Ltd of Gloucester Road Trading
Estate, Malmesbury, Wiltshire, SN16 9JT, UK
2. Conditions
2.1 These Conditions shall form the basis of the contract between the Seller and
the Buyer in relation to the sale of Goods, to the exclusion of all other terms
and conditions including the Buyer’s standard conditions of purchase or any
other conditions which the Buyer may purport to apply under any purchase
order or confirmation of order or any other document.
2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase
Goods from the Seller pursuant to these Conditions.
2.3 Acceptance of delivery of the Goods shall be deemed to be conclusive
evidence of the Buyer’s acceptance of these Conditions.
2.4 Goods are subject to availability, in the event that the Company is unable to
supply the Goods, the Customer will be informed as soon as possible. An
alternative will be offered or a full refund will be given where applicable.
2.5 The company reserves the right to alter the details and specifications of any
given product and to withdraw an item without notification.
2.6 These Conditions may not be varied except by the written agreement of a
director of the Seller.
2.7 These Conditions represent the whole of the agreement between the Seller
and the Buyer. They supersede any other conditions previously issued.
3. Price
The Price shall be the price quoted on the Seller’s confirmation of order. The Price is
exclusive of VAT which shall be due at the rate in force on the date of the Seller’s
invoice.
The cost of packaging, carriage, sales tax and all other taxes, duties and expenses in
respect of the Goods, will be added to the price where relevant. All prices quoted are
subject to VAT at the prevailing standard rate.
The Company reserves the right to change any price without notice.
In the unlikely event that the price of an item has been incorrectly advertised, the
Company will contact the Customer to ask if they wish to proceed at the correct price.
If not the order will be cancelled and a full refund given if applicable.
4. Payment and Interest
4.1 Payment of the Price and VAT shall be due within 7 days of the date of the
Seller’s invoice. Payment is accepted by credit, debit card or bank transfer.
Credit cards are subject to the surcharge advertised on the website at the time
of purchase.
4.2 Interest on overdue invoices shall accrue from the date when payment
becomes due calculated on a daily basis until the date of payment at the rate
of 8% per annum above the Bank of England base rate from time to time in
force. Such interest shall accrue after as well as before any judgment.
4.3 The Buyer shall pay all accounts in full and not exercise any rights of set-off or
counter-claim against invoices submitted by the Seller.
5. Goods
The quantity and description of the Goods shall be as set out in the Seller’s
confirmation of order.
6. Warranties
The Seller warrants that the Goods will at the time of delivery correspond to the
description given by the Seller in the confirmation of order. [Except where the Buyer
is dealing as a consumer (as defined in section 12 of the Unfair Contract Terms Act
1977), all other warranties, conditions or terms relating to fitness for purpose, quality
or condition of the Goods are excluded].
7. Delivery of the Goods
7.1 Delivery of the Goods shall be made to the Buyer’s address. The Buyer shall
make all arrangements necessary to take delivery of the Goods on the day
notified by the Seller for delivery.
7.2 The Seller undertakes to use its reasonable endeavours to despatch the
Goods on an agreed delivery date, but does not guarantee to do so. Time of
delivery shall not be of the essence of the contract.
7.3 The Seller shall not be liable to the Buyer for any loss or damage whether
arising directly or indirectly from the late delivery or short delivery of the
Goods. If short delivery does take place, the Buyer undertakes not to reject
the Goods but to accept the Goods delivered as part performance of the
contract.
7.4 If the Buyer fails to take delivery of the Goods on the agreed delivery date, or
if no specific delivery date has been agreed when the Goods are ready for
despatch, the Seller shall be entitled to store and insure the Goods and to
charge the Buyer reasonable costs of so doing.
8. Acceptance of the Goods
8.1 The Buyer shall be deemed to have accepted the Goods 48 hours after
delivery to the Buyer.
8.2 The Buyer shall carry out a thorough inspection of the Goods within 48 hours
of delivery and shall give written notification to the Seller within 3 working days
of delivery of the Goods of any defects which a reasonable examination would
have revealed.
8.3 Where the Buyer has accepted, or has been deemed to have accepted the
Goods, the Buyer shall not be entitled to reject Goods which are not in
accordance with the contract.
9. Title and Risk
9.1 Risk shall pass on delivery of the Goods to the Buyer’s address.
9.2 Notwithstanding the earlier passing of risk, title in the Goods shall remain with
the Seller and shall not pass to the Buyer until the amount due under the
invoice for them (including interest and costs) has been paid in full.
9.3 Until title passes, the Buyer shall hold the Goods as bailee for the Seller and
shall store or mark them so that they can at all times be identified as the
property of the Seller.
9.4 The Seller may at any time before title passes and without any liability to the
Buyer:
9.4.1 repossess and dismantle, use or sell all or any of the Goods and by
doing so terminate the Buyer’s right to use, sell or otherwise deal in
them; and
9.4.2 for that purpose (or determining what if any Goods are held by the
Buyer and inspecting them) enter any premises of or occupied by the
Buyer.
9.5 The Seller may maintain an action for the price of any Goods notwithstanding
that title in them has not passed to the Buyer.
10. Carriage of Goods
Carriage will be chargeable on all sales. This will be at the rate indicated in the item
description.
The Company will use reasonable endeavours to deliver the goods within the time
agreed. If the company is unable to deliver within this agreed timescale, the Company
will not be deemed in breach of contract, nor will the Company have any liability to
the customer for direct, indirect or consequential loss.
11. Use of Information
Information that a customer provides will be held on the Companies’ database and
used only for the administration of your account. We will not pass this information to
third parties.
All information is held securely as required by the Data Protection Act. Financial
information will not be stored.
12. Warranty and Liability
12.1 New Goods are supplied according to the descriptions and
specifications given in the relevant marketing material of the Company. On
acceptance of an order the company gives no warranty other than that offered by the
manufacturers of the Goods.
12.2 In the event that a new item is defective within the meaning of the Sale of
Goods Act 1979 the Company reserves the right, at its absolute discretion, to replace
or repair the Goods as an alternative to refunding the purchase price. It is the
responsibility of the purchaser to return the goods, at their own expense for
replacement, repair or refund.
12.3 Second hand Goods are supplied with a 14 day warranty, unless otherwise
indicated. The company reserves the right to replace or repair the Goods as an
alternative to refunding the purchase price. It is the responsibility of the purchaser to
return the goods, at their own expense for replacement, repair or refund. Any repairs
performed by our Engineers will be subject to a further 3 month warranty period.
12.4 The company shall not be liable for any breach of warranty where:
i) the Goods have been improperly altered in any way, or been subject
to misuse or unauthorised repair;
ii) the Goods have been improperly installed or connected by the
Customer;
iii) the Goods have been damaged by fire, water, smoke or chemicals;
iv) Any maintenance requirements relating to the Goods have not been
complied with;
v) the Customer has failed to notify the Company within 3 days of
receipt of any defect or damage to the Goods. It is the Customers
responsibility to promptly check Goods following delivery.
13. Return of Non-Faulty Goods
Goods are not supplied on a sale or return basis. Returns of non-faulty Goods
will only be accepted at the sole discretion of and with prior written permission of
the Company.
Returned goods must be unused and in original packaging and must be fit for resale.
14. Proper Law
These Terms & Conditions and any Contract shall be governed by & construed
according to the Law of England and the customer submits to the jurisdiction of
the English Court.

We may need to disclose certain personal information to our Agents or Contractors to enable us to process transactions, administer events or communicate with you. Where we do so it will be on the basis that these agents/contractors are required to keep the information confidential and secure, and will not use the information for any other purpose than to carry out the services they are performing for us.
- Anti-Money Laundering and Regulatory Authorities
We may need to retain and disclose certain information about you to regulatory authorities and to appropriate agencies to conduct anti-money laundering and trade sanction checks and to assist with fraud prevention, in particular, in compliance with our AML obligations and in relation to trade sanctions. We will disclose this information as is required by law.
- Credit Agencies
We may need to disclose certain personal information about you to credit agencies to conduct appropriate checks when you are transacting with us.
- Legal Disclosures
While we will not voluntarily disclose your personal data we may disclose such information if we are required to do so by a valid Court Order, if we are lawfully requested by government or law enforcement authorities, if we are required to do so pursuant to other legal processes, or if it becomes necessary to protect the rights or property of the Hilditch group of companies.
Worldwide transfers and processing
As a global organisation, HGL may process your personal information as described above in countries outside of the EEA. Each of these countries has differing privacy laws offering different levels of protection for your personal information. Our Privacy Policy reflects these varying practices and we will act in accordance with this Policy in all jurisdictions we operate in. By providing your personal information to HGL, you consent to us processing your personal information in any jurisdiction, in accordance with this Policy.

In order to provide you with marketing information about our products and services, we may contact you by e-mail, text, telephone and by post. At the bottom of any marketing e-mails you will have a clearly marked unsubscribe option from future mailings. In addition, you may at any time send an e-mail to sales@hilditchgroup.com asking for your name to be removed from our lists.
Your rights
You have the legal right to a copy of the information which we hold about you, including information on how this will be used and to ensure this information is accurate. Introduction
As from May 25, 2018, any company that operates within the EU is required to meet certain obligations under the EU General Data Protection Regulations.

have policies, standards and guidance to ensure that the appropriate controls and safeguards are in place to protect all personal data that we use.
We are committed to ensuring that all personal data that we hold is processed fairly and lawfully, kept up to date and accurate, adequately secured and protected, collected expressly for legitimate purposes and kept in such a way as to allow data subjects to exercise their rights.
Preparation
Hilditch Group has set up a GDPR review to ensure that all areas of the Company are compliant. This allows us to identify and take any necessary steps to ensure we are compliant.
Commitment
We will only request and hold data for the purposes of creating records, ongoing administration and to meet required obligations. This data may be collected though our websites, emails, letters, forms or by telephone.
We do not currently share customer (buyer or vendor) details with any third party for use outside the Hilditch Group. In the future, we will only share data with carefully selected third parties, and where it is necessary to enable us to carry out required services in the proper management of our dealings with our customers or suppliers.
Any data transferred to these third parties will be done so in a manner that ensures the security of the data no matter how this is transferred.
All data that we hold is stored within the UK either electronically on servers or in paper format. Access to this data is restricted on a business need basis and is appropriate based on the role of the individual being given such access. Confidentiality of passwords is strictly maintained. Processes are in place to ensure that leavers of the business have access removed.

Hilditch Group will be complying with GDPR as a Data Controller and a Data Processor. We will be working with any partner Organisations to ensure they can all meet these obligations.
The company has reviewed and put in place GDPR compliant privacy policies internally and externally. All staff who handle any data receive GDPR training and are aware of procedures and responsibilities of staff and stakeholders in regard to GDPR.

Data breaches
Data breaches will be dealt with in accordance with the ICO GDPR requirements and, where appropriate and feasible, reported to the relevant authority within 72 hours.
